Introduction

Welcome to PdfSolved (“Company”, “we”, “our”, “us”)!

These Terms of Service (“Terms”, “Terms of Service”, “Terms of Use”, “Terms and Conditions”) govern your use of our website located at pdfsolved.com (together or individually “Service”).

Our Privacy Policy also governs your use of our Service and explains how we collect, safeguard and disclose information that results from your use of our web pages.

Terms of Service(TOS) contain the terms under which pdfsolved and its affiliates provide their Services to you and describe how the Services may be accessed and used. These TOS may not apply to some or all of our business Services which are available solely through our sales channel.

By accessing the website at http://pdfsolved.com, you are agreeing to be bound by these terms of service, all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws. If you do not agree with any of these terms, you are prohibited from using or accessing this site. The materials contained in this website are protected by applicable copyright and trademark law.

Your agreement with us includes these Terms and our Privacy Policy (“Agreements”). You acknowledge that you have read and understood Agreements, and agree to be bound of them.

By using our Service, you agree to subscribe to newsletters, marketing or promotional materials and other information we may send. However, you may opt out of receiving any, or all, of these communications from us by following the unsubscribe link or by emailing at support@pdfsolved.com.

Subscriptions

Some parts of Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles will be set depending on the type of subscription plan you select when purchasing a Subscription.

At the end of each Billing Cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or pdfsolved cancels it. You may cancel your Subscription renewal either through your online account management page or by contacting support@pdfsolved.com customer support team.

A valid payment method is required to process the payment for your subscription. You shall provide us with accurate and complete billing information that may include but not limited to full name, address, state, postal or zip code, telephone number, and valid payment method information. By submitting such payment information, you automatically authorize to charge all Subscription fees incurred through your account to any such payment instruments.

Should automatic billing fail to occur for any reason, we reserve the right to terminate your access to the Service with immediate effect.

Service Description

Customer Identification

Some of the services which are free of charge can be used without any registration. Only registered Customers have access to the chargeable services of the Provider. As part of the registration process, the Customer shall select a user name (email address) and a password.

By completely filling the registration form and accepting these general terms and conditions, the Customer makes a binding offer to conclude a contract to use the offered and ordered services.

The Customer will receive an email after registration that will request the confirmation of the registration. As soon as the Customer confirms the registration, the process is completed.

PDF Conversions

pdfsolved provides an infrastructure, which facilitates the Customer to transfer document files from one format to another using our proprietary file converter programs as well as to edit and manipulate those files on Internet servers.

pdfsolved performs extensive technical services on the server, editing services, formatting services and conversion services. In this way, downloading and uploading of files in various formats are allowed through the server. It allows converting files from one file format to a document, from document to another file format, and manipulating document files using Software as a Service (SaaS) mechanisms.

The download service includes downloading of files for the permanent storage on a data carrier. This includes the possibility to download already converted files, as above mentioned, from other serves for further conversion.

The upload service includes moving of files of the Customer local space to storage them on the Cosmosforms server of the Provider for the purpose of utilizing all the services of pdfsolved.

In general our services provide a user the ability to transform a file (a "User File") from its original file format to a document format or a document format to a user-selected file format. The services operate by storing the uploaded or downloaded User File on a server, editing it according to the User’s wishes (“Edited File”), converting it into a new file format ("Converted File") and then providing the user a unique, and download link to the Edited or Converted File.

Forms Services

To provide its services, pdfsolved provides the Consumer with a free certain basic service on the website. Customers can also access to a chargeable premium account with advanced features and services.

The Customer acknowledges and agrees that the Provider may establish general practices and policies concerning the use of the services, including, without limitation, the maximum number of files that a Customer may upload through the services, the maximum size of the files that a Customer may convert through the services, the maximum number of hours or days that a file will be stored by the services, and the maximum number of times a user may access the services in a given period of time.

Forms Storage Space

pdfsolved provides memory space to the Customer within the framework of its operational and technical possibilities and depending on the use of its services, in order to save files created by the Customer through uploading or by transferring a download link.

For this purpose, the Customer grants the Provider a right of use of the file, unlimited by time or space. pdfsolved reserves the right to delete files or refuse uploads or file downloads provided that there is not enough storage capacity.

Your Content

You Retain Ownership of Your Content.

You retain ownership of all of your intellectual property rights in your Content. pdfsolved does not claim ownership over any of your Content. These Terms do not grant us any licenses or rights to your Content except for the limited rights needed for us to provide the Services, and as otherwise described in these Terms.

Limited License to Your Content

You grant pdfsolved a worldwide, royalty free license to use, reproduce, modify, adapt, create derivative work of our services, only for the limited purposes of providing the Services to you and as otherwise permitted by the pdfsolved privacy policies. This license for such limited purposes continues even after you stop using our Services, with respect to aggregate and de-identified data derived from your Content and any residual backup copies of your Content made in the ordinary course of pdfsolved’s business. This license also extends to any trusted third parties we work with to the extent necessary to provide the Services to you. If you provide pdfsolved with feedback about the Services, we may use your feedback without any obligation to you.

Customer Lists

pdfsolved may identify you (by name and logo) as a pdfsolved Services customer on pdfsolved website and on other promotional materials. Any goodwill arising from the use of your name and logo will inure to your benefit.

Other IP Claims

pdfsolved respects the intellectual property rights of others, and we expect our users to do the same. If you believe a pdfsolved user is infringing upon your intellectual property rights, you may report it through our online form.

pdfsolved IP

Neither these Terms nor your use of the Services grants you ownership in the Services or our proprietary content you access through the Services (other than your Content). Except as permitted by pdfsolved’s, these Terms do not grant you any rights.

If you submit any feedback or suggestions to us regarding our Services, we may use and share them for any purpose without any compensation or obligation to you.

Account Management

Keep Your Password Secure

If you have been issued an account by pdfsolved in connection with your use of the Services, you are responsible for safeguarding your password and any other credentials used to access that account. You, and not pdfsolved, are responsible for any activity occurring in your account (other than activity that pdfsolved is directly responsible for which is not performed in accordance with your instructions), whether or not you authorized that activity. If you become aware of any unauthorized access to your account, you should notify pdfsolved immediately. Accounts may not be shared and may only be used by one individual per account.

Keep Your Details Accurate

pdfsolved occasionally sends notices to the email address registered with your account. You must keep your email address and, where applicable, your contact details and payment details associated with your account current and accurate.

Remember to Backup

You are responsible for maintaining, protecting, and making backups of your Content. To the extent permitted by applicable law, pdfsolved will not be liable for any failure to store, or for loss or corruption of, your Content.

Account Inactivity

pdfsolved may terminate your account and delete any Content contained in it if there is no account activity (such as a log in event or payment) for over 12 months. However, we will attempt to warn you by email before terminating your account to provide you with an opportunity to log in to your account so that it remains active.

Customer Manager

pdfsolved may assign you a customer manager (“CM”) based on the business or business agreements executed by the pdfsolved personnel. The CM may review your use of the Services and your Content to help you to more effectively use the Services, including by providing reporting and usage insight.

Legal Compliance

You represent and warrant that you will comply with all laws and regulations applicable to your use of the Services

Minors

“Minors” are individuals under the age of 13 (or a higher age as provided in certain countries and territories). None of the Services are intended for use by Minors. If you are a Minor in your place of residence, you may not use the Services. By using the Services, you represent and warrant that you are not a Minor.

Your Responsibilities

You are responsible for your conduct, Content, and communications with others while using our Services. You must comply with the following requirements when using our Services:

  • You may not purchase, use, or access the Services for the purpose of building a competitive product or service or for any other competitive purposes. If there are any intentions contact pdfsolved for a business deal and agreements.
  • You may not misuse our Services by interfering with their normal operation, or attempting to access them using a method other than through the interfaces and instructions that we provide.
  • You may not circumvent or attempt to circumvent any limitations that pdfsolved imposes on your account (such as by opening up a new account to conduct a survey that we have closed for a Terms violation).
  • Unless authorized by pdfsolved in writing, you may not probe, scan, or test the vulnerability of any pdfsolved system or network.
  • Unless authorized by pdfsolved in writing, you may not use any manual or automated system or software to extract or scrape data from the websites or other interfaces through which we make our Services available.
  • Unless permitted by applicable law, you may not deny others access to, or reverse engineer, the Services, or attempt to do so.
  • You may not transmit any viruses, malware, or other types of malicious software, or links to such software, through the Services.
  • You may not engage in abusive or excessive usage of the Services, which is usage significantly in excess of average usage patterns that adversely affects the speed, responsiveness, stability, availability, or functionality of the Services for other users. pdfsolved will endeavour to notify you of any abusive or excessive usage to provide you with an opportunity to reduce such usage to a level acceptable to pdfsolved.
  • You may not use the Services to infringe the intellectual property rights of others, or to commit an unlawful activity.
  • Unless authorized by pdfsolved in writing, you may not resell or lease the Services.
  • If your use of the Services requires you to comply with industry-specific regulations applicable to such use, you will be solely responsible for such compliance, unless pdfsolved has agreed with you otherwise. You may not use the Services in a way that would subject pdfsolved to those industry-specific regulations without obtaining pdfsolved’s prior written agreement.
  • You may not register accounts by “bots” or other automated methods.
  • Your Content and use of the Services may not violate any of our Policies

Fees and Payments

Fees for Services

Customers who use chargeable services of pdfsolved pay fees for each Service you purchase or use (including any overage fees), in accordance with the pricing and payment terms presented to you for that Service. Where applicable, you will be billed using the billing method you select through your account management page. Fees paid by you are non-refundable, except as provided in these Terms or when required by law.

If you use the Services to accept payment card transactions, you must comply with the Payment Card Industry Data Security Standards to the extent they are applicable to your business. pdfsolved provides tools to simplify your compliance with Payment Card Industry Standards, but you must ensure that your business is compliant and the specific steps you will need to take to comply with the Standards will depend on your implementation of the Services.

Subscriptions

Some of our Services are billed on a subscription basis (we call these “Subscriptions”). This means that you will be billed in advance on a recurring, periodic basis (each period is called a “billing cycle”). Billing cycles are typically monthly or annual, depending on what subscription plan you select when purchasing a Subscription. Your Subscription will automatically renew at the end of each billing cycle unless you cancel auto-renewal through your online account management page, or by contacting us. While we will be sad to see you go, you may cancel auto-renewal on your Subscription at any time, in which case your Subscription will continue until the end of that billing cycle before terminating. You may cancel auto-renewal on your Subscription immediately after the Subscription starts if you do not want it to renew.

These Terms constitute the entire agreement between you and pdfsolved, and they supersede any other prior or contemporaneous agreements, terms and conditions, written or oral concerning its subject matter. Any terms and conditions appearing on a purchase order or similar document issued by you do not apply to the Services, do not override or form a part of these Terms, and are void.

Taxes

Our prices listed do not include any taxes, levies, duties or similar governmental assessments of any nature such as value-added, sales, use or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”) unless otherwise indicated. You are responsible for paying Taxes associated with your purchase and keeping your billing information up to date

Price Changes

pdfsolved may change the fees charged to you for the Services at any time, provided that, for Services billed on a subscription basis, the change will become effective only at the end of the then-current billing cycle of your Subscription. pdfsolved will provide you with advance notice of any change in fees.

Suspension and Termination of Services

Termination from You

You can terminate your Subscription and delete your account at any time through your account management page. Such termination and deletion will result in the deactivation or disablement of your account and access to it, and the deletion of content you collected through use of the Services. Services can continue till the end of the paid services, but if required Terminations can be confirmed immediately by contacting pdfsolved and you will not be charged again for that Subscription unless you purchase a new one. If you terminate a Subscription in the middle of a billing cycle, you will not receive a refund unless you are terminating these Terms for any of the following reasons:

  • We have materially breached these Terms and failed to cure that breach within 30 days after you have so notified us in writing;
  • A refund is required by law; or
  • we, in our sole discretion, determine a refund is appropriate
Termination by pdfsolved

pdfsolved may suspend performance or terminate your Subscription for any of the following reasons:

  • You have materially breached these Terms and failed to cure that breach
  • You cease your business operations or become subject to insolvency proceedings and the proceedings are not dismissed within 90 days; or
  • You fail to renew the subscriptions with in the due date.
  • Additionally, pdfsolved may limit, suspend, or terminate the Services to you:
    • If you fail to comply with these Terms,
    • If you use the Services in a way that causes legal liability to us or disrupts others’ use of the Services; or
    • If we are investigating suspected misconduct by you. Also, if we limit, suspend, or terminate the Services you receive, depending upon the reason, we will endeavour to give you advance notice and an opportunity to obtain a copy of your Content from that Service. However, there may be time sensitive situations where pdfsolved may decide that we need to take immediate action without notice. pdfsolved will use commercially reasonable efforts to narrow the scope and duration of any limitation or suspension under this Section as is needed to resolve the issue that prompted such action.
Further Measures

If pdfsolved stops providing the Services to you because you repeatedly or egregiously breach these Terms, pdfsolved may take measures to prevent the further use of the Services by you, including blocking your IP address.

Changes and Updates

Changes to Terms

pdfsolved may change these Terms at any time for a variety of reasons, such as to reflect changes in applicable law or updates to Services, and to account for new Services or functionality. The most current version will always be posted on the pdfsolved website. If an amendment is material, as determined in pdfsolved’s sole discretion, pdfsolved will notify you by email. Notice of amendments may also be posted to pdfsolved’s blog or upon your login to your account. Changes will be effective no sooner than the day they are publicly posted. In order for certain changes to become effective, applicable law may require pdfsolved to obtain your consent to such changes, or to provide you with sufficient advance notice of them. If you do not want to agree to any changes made to the terms for a Service, you should stop using that Service, because by continuing to use the Services you indicate your agreement to be bound by the updated terms.

Changes to Services

pdfsolved constantly changes and improves the Services. pdfsolved may add, alter, or remove functionality from a Service it provides to you at any time without prior notice. pdfsolved may also limit, suspend, or discontinue a Service provided to you at its discretion. If pdfsolved discontinues a Service, we will give you reasonable advance notice to provide you with an opportunity to obtain a copy of your Content from that Service. pdfsolved may remove content from the Services it provides you at any time in our sole discretion, although we will endeavour to notify you before we do that if it materially impacts you and if practicable under the circumstances.

Downgrades

Downgrading your account plan may cause the loss of content, features, functionality, or capacity of your account

Disclaimer

Our Services on pdfsolved website are provided on an 'as is' basis. pdfsolved makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

Further, pdfsolved does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on its website or otherwise relating to such materials or on any sites linked to this site.

If you do not agree with (or cannot comply with) Agreements, then you may not use the Service, but please let us know by emailing at support@pdfsolved.com so we can try to find a solution. These Terms apply to all visitors, users and others who wish to access or use Service.

Limitations

In no event shall pdfsolved or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on pdfsolved.com's website, even if pdfsolved.com or a pdfsolved.com authorized representative has been notified orally or in writing of the possibility of such damage. Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

We acknowledge that the laws of certain jurisdictions provide legal rights to consumers that may not be overridden by contract or waived by those consumers. If you are such a consumer, nothing in these Terms limits any of those consumer rights.

Business Accounts

If you use our Services as part of a business, an entity, or a non-profit (collectively, “Organization”) that has an agreement with pdfsolved, then the terms of that agreement between the Organization and pdfsolved will supersede the Terms and Privacy Notice where the terms overlap.

Acknowledgement

BY USING SERVICE OR OTHER SERVICES PROVIDED BY US, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE AND AGREE TO BE BOUND BY THEM.
